1. Acceptance of Terms
By accessing the website of NebulaBridgeSystems or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to any part of these terms, you must not use our website or services. These terms constitute a legally binding agreement between you (the "Client") and NebulaBridgeSystems (the "Provider").
2. Scope of Services
NebulaBridgeSystems provides custom digital development services including but not limited to: bespoke web tool development, browser extension and plugin creation, API integration, automation scripting, dashboard development, and niche software solutions. The exact scope, deliverables, timeline, and pricing for each project are defined in a written project brief or quotation provided to the Client prior to commencement.
3. Project Execution
All projects follow a milestone-based development process. Milestones are defined in the project brief and require Client approval at each stage before proceeding. NebulaBridgeSystems reserves the right to adjust timelines if the Client delays feedback or deliverables beyond agreed milestones. Changes to the project scope after approval may result in revised quotations.
4. Payment Terms
Invoices are issued upon milestone completion or as otherwise specified in the project brief. Payment is due within 14 days of invoice date unless otherwise agreed. Late payments incur a statutory interest rate of 4% per annum as per Spanish commercial legislation (Código de Comercio, Art. 319). NebulaBridgeSystems reserves the right to suspend work on any project with outstanding invoices exceeding 30 days.
5. Intellectual Property
Upon full payment of all invoices, the Client receives full ownership of the final deliverables and all associated intellectual property rights, including source code, design assets, and documentation. NebulaBridgeSystems retains the right to display the work in its portfolio unless the Client objects in writing. Pre-existing libraries, frameworks, and tools used during development remain subject to their original open-source or commercial licenses.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the project. NebulaBridgeSystems will not disclose the Client's business data, project specifications, or proprietary workflows to any third party without prior written consent. This obligation survives termination of the agreement for a period of 3 years.
7. Limitation of Liability
NebulaBridgeSystems shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of delivered services. Our total aggregate liability under any project shall not exceed the total fees paid by the Client for that specific project. We are not responsible for issues arising from third-party services, hosting environments, or client modifications to delivered code.
8. Termination
Either party may terminate the agreement with 14 days' written notice. In the event of termination, the Client shall pay for all work completed up to the termination date. NebulaBridgeSystems shall deliver all completed work and documentation within 7 business days of termination.
9. Governing Law & Jurisdiction
These Terms of Service are governed by the laws of Spain and the European Union. Any disputes arising from or relating to these terms shall be resolved before the competent courts of Madrid, Spain. The parties agree to attempt amicable resolution before initiating formal legal proceedings.
